CONDITIONS

DEFINITIONS:
Jos Frederiks: the contractor.
Counterparty: the client of Jos Frederiks.
Agreement: the service agreement.
Start Date: the first day on which the assignment commences.
Cancellation: the (premature) termination of an assignment or rescheduling of the start date.

Article 1. GENERAL
1.1 These terms apply to all forms of services, research and treatment agreements, and assignments provided by Jos Frederiks.
1.2 Additions to or deviations from these terms must be agreed upon in writing and apply only to the specific agreement for which they were made.
1.3 Rights and obligations arising from agreements between Jos Frederiks and the counterparty may not be transferred to third parties without written consent from Jos Frederiks.
1.4 Contradictory general terms and conditions, including those of the counterparty, are not accepted unless explicitly agreed upon in writing.
1.5 The professional and ethical codes as outlined by affiliated professional associations (RBCZ/SCAG) are part of these terms and conditions. The counterparty agrees to respect all resulting obligations.

Article 2. AGREEMENTS
2.1 An agreement is deemed valid when Jos Frederiks executes a verbal, written, and/or electronic request for service, or confirms the assignment in writing, or begins executing the assignment. The content is determined by the registration or application form, the quotation or assignment confirmation, and these terms.
2.2 Any requested changes or extensions to an existing assignment must be confirmed in writing by the counterparty before they are valid.
2.3 Agreements are for an indefinite period unless otherwise specified or agreed in writing.
2.4 An agreement is established when Jos Frederiks reserves a date (e.g. for coaching, therapy, training, course) and the counterparty confirms this in writing. Otherwise, Jos Frederiks reserves the right to withdraw without obligation.

Article 3. PRICES / FEES
3.1 All rates are stated in euros and include VAT and other applicable fees, unless stated otherwise in writing.
3.2 Jos Frederiks charges a fixed hourly rate and invoices based on actual time spent per day. The counterparty is responsible for full payment, regardless of third-party reimbursements (e.g. insurers).
3.3 If applicable taxes or factors affecting service pricing change after the agreement is made, Jos Frederiks may adjust the rates accordingly. Increases over 10% allow the counterparty to cancel the agreement in writing within 7 days of notification, without the right to compensation.

Article 4. PAYMENT
4.1 Clients are responsible for submitting invoices to their insurer and ensuring payment to Jos Frederiks or via Famed Infomedics. This also applies to clients under guardianship.
4.2 All amounts must be paid within 14 days of the invoice date without deductions, unless otherwise agreed.
4.3 Travel, accommodation, location costs and required literature are at the client’s expense unless otherwise agreed.
4.4 Payment delay beyond 14 days constitutes default, without need for further notice.
4.5 In such cases, Jos Frederiks may charge interest and collection fees as follows:
 - 15% on the first €2,500, with a minimum of €40
 - 10% on the next €2,500
 - 5% on the following €5,000
 - 1% on the next €190,000
 - 0.5% on the remaining balance (max €6,775)Example: For a €3,000 invoice, late fees = €375 (15% of €2,500) + €50 (10% of €500) = €425.
4.6 Any legal and extrajudicial costs related to disputes are charged to the counterparty.
4.7 Reports and assessments are only shared once all outstanding payments are settled.
4.8 Jos Frederiks uses the debt collection services of GGN Incasso.

Article 5. CANCELLATION / NO-SHOW
5.1 The counterparty may cancel participation or an entire assignment by registered mail.
5.2 Cancellation or rescheduling is free up to two weeks before coaching/treatment/training starts, or 48 hours (2 working days) before individual client sessions, except for incurred costs or damages.
5.3 For cancellations/no-shows within two weeks (or 48 hours for individual sessions), 100% of the agreed fee is owed, even in force majeure (e.g. illness or snow).
5.3.1 This also applies to youth programs reimbursed by municipalities. Appointments not canceled on time or joint sessions missed due to separated parents will still be charged per the signed agreement.
5.4 If the client or designated participant ends the assignment prematurely, no refunds will be issued.

Article 6. PERFORMANCE OF THE AGREEMENT
6.1 Jos Frederiks will perform services to the best of their ability, following professional standards and current scientific knowledge.
6.2 Jos Frederiks may subcontract tasks to qualified third parties.
6.3 The counterparty must provide all necessary information in a timely and complete manner. Failure to do so may result in delays and additional costs.
6.4 The counterparty is responsible for the accuracy and completeness of provided data, even if from third parties.
6.5 Documents provided by the counterparty will be returned upon request.

Article 7. BREACH / TERMINATION / SUSPENSION
Jos Frederiks may terminate or suspend the agreement immediately, without judicial intervention, if:The counterparty violates any agreement provision;The counterparty dies, files for bankruptcy or suspension of payments;The counterparty's company is closed or liquidated;An amicable settlement is proposed;Assets are seized;There is reason to deny service.

Article 8. LIABILITY
8.1 Jos Frederiks is only liable if covered by insurance and paid out by the insurer, except in cases of intent or gross negligence.
8.2 No liability for actions of subcontractors unless involving gross negligence.
8.3 No liability for advice provided.
8.4 No liability for delays or suspensions under Article 7.
8.5 No liability for loss or damage to documents.
8.6 The counterparty indemnifies Jos Frederiks against third-party claims relating to service execution.
8.7 Indemnification lapses only if the counterparty proves that damage was due to gross negligence by Jos Frederiks.

Article 9. FORCE MAJEURE
9.1 Force majeure includes any circumstance outside of Jos Frederiks’ control that prevents fulfillment, such as war, government action, raw material shortages, strikes, quarantine, epidemics, frost delays, or third-party failures.
9.2 In such cases, Jos Frederiks may suspend or terminate the agreement without liability. Payment for already delivered services remains due.

Article 10. CONFIDENTIALITY
10.1 Except where legally required, Jos Frederiks will not share client information without consent.
10.2 The counterparty agrees to keep all confidential business and client information private during and after the agreement.
10.3 All data is handled in accordance with data protection laws; third-party access is prohibited.
10.4 Clients have limited access to their file and may request early destruction in writing. Files are destroyed after the legal retention period.

Article 11. PARTIAL INVALIDITY
If any clause is deemed legally invalid, the remaining provisions remain in force. A legally effective replacement clause will be adopted reflecting the original intent as closely as possible.

Article 12. PLACE OF PERFORMANCE, APPLICABLE LAW, COMPETENT COURT
12.1 The location of Jos Frederiks is the place of performance unless otherwise required by law.
12.2 Dutch law applies to all agreements.
12.3 Disputes will be settled by the competent court in the Netherlands.
